Terms and Conditions of Sale - TCS

Preamble
Celerinc, headquartered in Rouen, France, specializes in AI strategy advisory, executive training, and custom software development.
These Terms and Conditions of Sale (TCS) govern all service and training agreements between Celerinc and its clients, in compliance with French and EU law.
Article 1 - Purpose
These TCS define the conditions under which Celerinc provides advisory services, training programs (live or pre-recorded), and software development.
Article 2 - Pre-contractual Information
Before any contract is finalized, Celerinc provides clients with clear, accurate information regarding the content, duration, price, and execution terms of the proposed service or training.
Article 3 - Confirmation of Order
The order becomes binding once Celerinc issues written confirmation following receipt of payment or a signed agreement.
Article 4 - Right of Withdrawal
Clients have a 14-day withdrawal period from the order date, in accordance with French consumer law.
This right does not apply once the client has given explicit consent to begin service or access digital content before the withdrawal period expires.
Article 5 - Pricing
Prices are in euros, inclusive of VAT, and fixed at the time of order confirmation.
Celerinc reserves the right to revise its prices, with the guarantee that the price applicable is the one displayed when the order is placed.
Article 6 - Payment Terms
Payment is required at the time of order, by credit card (via Stripe), bank transfer, or any method specified in the agreement.
All payments are secured through encrypted connections and verified payment gateways.
Article 7 - Discovery of Services and Training
Celerinc provides services in accordance with the agreed schedule and deliverables.
For live training sessions, dates and times are communicated in advance.
For pre-recorded sessions, clients receive direct online access to the materials upon payment.
Article 8 - Intellectual Property
All intellectual property rights to materials, software, and deliverables created by Celerinc remain the company’s exclusive property unless otherwise agreed in writing.
The client is granted a non-exclusive, non-transferable license to use deliverables solely for internal purposes.
Article 9 - Legal Warranties
Celerinc guarantees the quality and conformity of its services as per French law.
The company is bound by an obligation of means, not of result, ensuring professional diligence in all its work.
Article 10 - Confidentiality
Celerinc undertakes to treat all client information as strictly confidential.
No information shared during the performance of services will be disclosed to third parties without prior written consent.
Article 11 - Limitation of Liability
Celerinc shall not be liable for indirect, consequential, or financial losses resulting from its services.
Clients are responsible for ensuring the compatibility of the deliverables with their internal systems and processes.
Article 12 - Dispute Resolution
These TCS are governed by French law.
In the event of a dispute, the parties agree to seek an amicable settlement before taking legal action.
If no agreement is reached, jurisdiction lies with the Tribunal de Commerce de Rouen / Paris.
